Terms of Service
These Terms of Service ("Terms") govern your use of the fulfillment and order management services provided by Order Flow Logistics Ltd, a company registered in England and Wales (No. 12047833) with a registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom.
1. Acceptance
By requesting a quote, signing a service order, or using any part of the service, you agree to these Terms and any additional terms in the applicable service order.
2. Service description
- Warehouse receipt, storage, pick-and-pack of your inventory.
- Order routing across multiple sales channels.
- Multi-carrier label generation, shipping, tracking and returns handling.
- API and web dashboard access for real-time visibility.
3. Customer obligations
- Provide accurate product master-data and shipping information.
- Comply with customs, tax and product-safety regulations applicable to your goods.
- Not use the service for prohibited goods (weapons, controlled substances, counterfeit items).
- Pay invoices in accordance with the agreed payment terms.
4. Pricing and invoicing
Pricing is set out in your signed service order. Standard payment terms are Net 14 days from invoice date, in EUR or GBP. Late payments accrue interest at 4% above the Bank of England base rate.
5. Service levels
Our target service levels: 99.5% pick accuracy, 99.2% on-time dispatch, 99.95% platform uptime measured over each calendar month. Specific SLA credits are set out in your service order.
6. Liability
Our aggregate liability under these Terms for any 12-month period is capped at the fees paid by you for the service in that same period. We are not liable for indirect, consequential or punitive damages.
7. Insurance
Inventory in our warehouses is covered by our third-party insurance policy up to £250,000 per event. Additional insurance can be arranged on request.
8. Term and termination
Either party may terminate for material breach with 30 days written notice if the breach is not cured. Either party may terminate for convenience with 90 days written notice.
9. Confidentiality
Each party will keep the other's confidential information secure and use it only for the purposes of performing under these Terms. This obligation survives termination for 3 years.
10. Data protection
Our handling of personal data is governed by our Privacy Policy. We act as data processor for any end-consumer data provided by you.
11. Governing law
These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of London, England.
